LA TITULIZACIÓN DE DERECHOS DE CRÉDITO FUTUROS: PROPUESTA DE UNA METODOLOGÍA APLICADA A LOS PEAJES DE AUTOPISTA DIRECTORES Dr. Jorge de Andrés Sánchez y Dr. Antonio Terceño Gómez DOCTORANDA Susana Sardá García Motivos: 1. Existe una gran e histórica problemática alrededor de la provisión y financiación de infraestructuras y servicios públicos en general; y de la de las infraestructuras de transporte por carretera en particular. La base de la problemática radica en los papeles que los sectores público y privado pueden y/o deben jugar en la financiación, construcción, gestión y pago de este tipo de inversiones. En la tesis se exponen las distintas posibilidades y combinaciones existentes. Por otro lado, desde la Comisión Europea la postura es clara: se pretende potenciar la colaboración entre el sector público y privado. También parecen abogar por el pago por parte de los usuarios de las infraestructuras de transporte por carretera. 2. La legislación española autorizó en 1998 la titulización de peajes de autopista, sin que hasta el momento se haya llevado a cabo. Una de las razones puede ser la complejidad en el diseño de todo el proceso. Mecanismos que proporciona esta tesis: 1. Un modelo para determinar la cantidad óptima de peajes futuros a titulizar y la distribución temporal de éstos; tanto si la autopista la gestiona un ente público como uno privado. 2. Un modelo para el diseño óptimo de la emisión de bonos respaldados por los citados peajes. Con la aplicación de estos modelos: 1. Se consigue implicar, si se estima conveniente, a los sectores público y privado. 2. El originador del proceso (quien gestione la autopista, público o privado) consigue optimizar sus objetivos de rentabilidad, rápida recuperación de la inversión; o en el caso del sector público, minimizar el recurso al presupuesto. 3. Se facilita la gestión del Fondo de Titulización, con la estructuración óptima de su pasivo en función del activo constituido por los peajes cedidos. 4. Ambos modelos tienen en cuenta el riesgo que se transmite a los inversores finales e incorporan mecanismos de mejora crediticia; consiguiendo directamente en los mercados financieros recursos para la financiación de infraestructuras. A great and historical problematic exists about provision and funding infrastructure and public services in general; and of that of transport infrastructures, highways especially. The base of the problematic takes root in the roles that public and private sectors can and/or must play in the funding, construction, management and payment of this type of investments. In the thesis there are exposed the different possibilities and existing combinations. On the other hand, from the European Commission the attitude is clear: collaboration is tried to be promote by Public Private Partnerships. Also they seem to plead for the payment of the users of the infrastructures of transport for highway. 2. The Spanish legislation authorized in 1998 the securitisation of toll roads, but up to the moment it has not removed to end. One of the reasons can be the complexity in the design of the whole process. Mechanisms provided by this thesis: 1. A model to determine future tolls optimum securitisation, and the temporary distribution of these. The model is useful if the highway is managed by a public entity or a private one. 2. A model for the optimum design of the issue of bonds backed by the mentioned tolls. With the application of these models: 1. It is managed to join, if it is considered suitable, public and private sectors. 2. The originator of the process (who runs the highway, public or private) can optimize his aims of profitability and pay-back; or in case of the public sector, to minimize the resource to the budget. 3. The management of the Special Purpose Vehicle is facilitated, with the optimization of its passive structure depending on the assets constituted by the tolls. 4. Both models consider the risk transmitted to the final investors and incorporate credit enhancement mechanisms; obtaining financial resources directly on financial markets.
